“The CN Corporate Finance team provided me with comprehensive end-to-end support throughout the acquisition process. I always received the correct level and balance of guidance and support on what was my first deal and therefore learned a lot through the process. CN provided me with advice covering due diligence, tax, deal structure options, legal, corporate finance and accountancy services to name but a few. It was a real pleasure to work with the entire CN team.”
Andrew Nagberi - Managing Director
Client Overview
The Flag Consultancy is a well-established, highly respected business that provides an array of flag and flagpole services to clients in the public and private sector.
This has included providing flag services for major ceremonial and government events in London, including state visits and royal occasions, major sporting events, and buildings in the education, retail, hotels and justice sectors, among others.
Objectives
Our client had a background in international investment banking and was returning to the UK after several years working overseas. His objective upon his return was to buy into an established trading business and support the business on its next phase of growth.
We initially worked with our client to assess business purchase opportunities that matched his objectives, ultimately facilitating discussions with the founding shareholder of The Flag Consultancy who was beginning to plan an exit from the business.
After a period of time working in the business and later becoming its managing director, our client was ready to begin the process of undertaking a management buyout.
Our Role
CN Corporate Finance acted as buy-side adviser to The Flag Consultancy managing director Andrew Nagberi to support a proposed management buyout.
Our role included:
- Facilitating initial discussions with the vendor
- Advising on deal structuring and heads of terms
- Debt advisory and assistance with lending documents
- Financial due diligence
- Corporate finance advisory
The Outcome
Andrew completed a successful management buyout of the Flag Consultancy in March 2026, becoming its majority shareholder. The deal enabled the founder to retain a minority equity stake and support a smooth transition while stepping back from the day-to-day running of the business.
