“When I was presented with the opportunity to facilitate a majority acquisition of one of my businesses, the first person I consulted for advice was Andy Baggott. Our professional relationship goes back 20 years, providing me and my businesses with trusted advice across tax, pension and accountancy.
“The outcome for each shareholder was significantly different. CN looked after each of us as individuals and genuinely cared about our financial outcomes. Andy worked hard to negotiate the best possible valuation and carefully reviewed every detail before we signed.
“The Cheshire Cheese Company is now in capable hands and positioned to achieve its growth potential. I would highly recommend CN Corporate Finance’s services.”
Simon Spurrell - Managing Director
Client Overview
The Cheshire Cheese Company is a specialist food business, producing and selling a wide range of cheeses and related products through both online retail and wholesale channels. The company has built a strong reputation for quality products and has developed a loyal customer base through its direct-to-consumer and trade sales operations.
Objectives
We initially worked with the business on a strategic restructure of the group and its operating divisions to support the company’s continued growth and development.
As the business expanded, the shareholders began exploring options to bring in a strategic partner that could support the next stage of growth while allowing certain shareholders to realise value from their investment.
Our Role
CN Corporate Finance acted as adviser to the shareholders throughout the process, supporting both the strategic development of the business and the eventual majority sale to Heler Group
Our involvement included:
- Advising on the group restructure and strategic positioning of the business
- Managing negotiations and assessing key financial aspects of the transaction
- Supporting the financial and commercial due diligence process
- Assisting with commercial input into legal documentation
- Supporting the preparation and negotiation of completion accounts
- Ensuring that shareholders with differing objectives achieved the best possible outcome
The Outcome
The transaction resulted in the majority sale of Cheshire Cheese Company to the Heler Group, a well-established business within the UK cheese sector.
The deal provided liquidity for shareholders while securing a strategic partner capable of supporting the continued development of the brand and its distribution channels.
