Through its technical capability and experienced team, ESD has established itself as a trusted partner for clients across the construction and built environment sectors.
Objectives
The shareholders of ESD were seeking a majority sale to a larger corporate group that could support the business’s next stage of growth while allowing the founders to realise value from the company they had built.
A key objective was to identify a strategic partner that would provide both long-term stability and the resources required to accelerate growth.
Our Role
CN Corporate Finance acted as sell-side adviser to the shareholders of ESD throughout the transaction.
Our role included:
- Identifying and potential strategic buyers
- Managing the transaction process
- Advising on deal structure and negotiations
- Supporting the shareholders throughout financial, legal and commercial diligence
The Outcome
The transaction resulted in the successful majority sale of ESD to Global Sustainable Buildings Consultancy (GSBC), a group backed by Ansor.
The deal enabled the shareholders to extract equity while positioning the business within a larger organisation capable of supporting its long-term growth ambitions. As part of a consolidating platform within the sector, ESD is well placed to continue expanding its services and market presence.
